Getty Images prepackaged Chapter 11 follows failed Shutterstock merger and AI stock crash

Getty Images announced plans for an expedited prepackaged Chapter 11 filing, moving to go private after losing roughly 99% of its valuation since its 2022 SPAC listing. The company reached a Restructuring Support Agreement with major financial stakeholders to eliminate $270 million in senior unsecured notes. The Getty family and Koch Equity Development will inject up to $533 million in new equity to take 100% ownership by the end of 2026.

The bankruptcy comes after months of mounting debt and market pressure. In 2022, Getty Images traded at a market capitalization near $4.8 billion before falling into penny-stock territory. A planned $3.7 billion merger with rival Shutterstock collapsed under regulatory and financial strain, leaving Getty with $2.1 billion in debt alongside growing competition from generative AI image platforms.
